
Please read these Terms and Conditions (“Agreement”) carefully. By requesting services, scheduling an inspection, signing an estimate, or otherwise engaging SENTINEL ROOFING (“Company,” “we,” “us”), you (“Client,” “you”) agree to be bound by this Agreement. 1. Parties
These Terms and Conditions ("Terms") govern services provided by Sentinel Roofing ("Contractor", "we", "us") to the property owner or authorized representative ("Client", "you"). By accepting an estimate, signing a proposal, paying a deposit, or permitting work to begin, you agree to these Terms.
2. Scope of Work
Work performed is limited to items described in the written estimate, proposal, or contract. Any work not expressly included is excluded and will require a written change order and additional charges.
3. Estimates, Proposals and Acceptance
Estimates and proposals are valid for the period specified (unless stated otherwise, 30 days). Acceptance must be in writing (signed proposal, email confirmation, or executed contract). Verbal agreements are not binding unless documented.
4. Pricing and Payment
Payment terms are stated on the proposal. Typical terms: deposit at signing, progress payments as specified, and final payment due on completion. Final payment is due upon completion, prior to final cleanup departure unless otherwise agreed in writing. Late payments may incur interest at the lesser of 1.5% per month or the maximum permitted by law, plus collection costs and attorney fees if applicable.
5. Deposits
Deposits secure scheduling and material orders and are non-refundable after materials are ordered or work has commenced, except as required by law.
6. Change Orders
Any requested changes to scope will be documented in a written change order including cost and schedule impact. Work on change orders will not begin until the change order is approved.
7. Materials and Subcontractors
We will provide materials as specified. Substitutions of equal or superior quality may be made if originals are unavailable; substitutions will be communicated when possible. We may use qualified subcontractors and remain responsible for overall project coordination.
8. Permits and Inspections
Obtaining required permits, scheduling inspections, and paying associated fees will be handled as specified in the contract. If not included, the Client is responsible for permits and inspections.
9. Site Access and Preparation
Client must provide safe and reasonable access to the property, including utilities, parking, and staging area. Client is responsible for removing valuables and securing pets. We are not responsible for damage to items left in attic spaces, gutters, landscaping, or other areas not cleared prior to work unless caused by our negligence.
10. Schedule and Delays
Project start and completion dates are estimates and subject to change due to weather, material availability, permit delays, or other unforeseen conditions. We will notify you of significant delays.
11. Clean-up and Disposal
We will remove construction debris and dispose of materials in accordance with local regulations. Final cleanup will be completed within a reasonable time after job completion.
12. Warranties
Manufacturer warranties cover materials; terms vary by product and will be provided separately. We warrant workmanship for the period specified in your contract (if none specified, 1 year from completion) against defects in workmanship under normal use and maintenance. Warranty exclusions include:
•Damage from acts of God
•Misuse
•Neglect
•Improper maintenance
•Subsequent modifications by others
•Normal wear
Warranty claims must be made in writing and allow Contractor reasonable opportunity to inspect and remedy.
13. Insurance and Liability
We maintain general liability and workers' compensation insurance. Certificates are available on request. Our liability for any claim arising from performance of work is limited to direct damages up to the greater of the contract price or the limits of our applicable insurance coverage. We are not liable for indirect, incidental, consequential, or punitive damages.
14. Indemnification
Client agrees to indemnify and hold Contractor harmless from claims, losses, or damages arising from Client's negligence, misrepresentations, or third-party acts unrelated to Contractor's performance.
15. Termination and Suspension
Either party may terminate for material breach with written notice if the breach is not cured within 10 days (or other period specified). Contractor may suspend work for nonpayment after providing notice; Contractor is not liable for resulting delays or increased costs.
16. Hazardous Materials
If hazardous materials (asbestos, lead, mold, etc.) are discovered, work will stop and additional remediation will require a separate agreement. Contractor is not responsible for pre-existing hazards unless identified in contract.
17. Photography and Marketing
Unless objected in writing, Contractor may take photos and video of the project for records and marketing. We will not disclose personal information beyond these materials without consent.
18. Dispute Resolution
Parties will first attempt to resolve disputes via negotiation. If unresolved, disputes will be submitted to binding arbitration in the county where the property is located under the rules of the American Arbitration Association (or local equivalent), unless otherwise agreed. Each party pays its own attorney fees and arbitration costs as ordered by the arbitrator.
19. Governing Law
These Terms are governed by the laws of the state where the property is located, without regard to conflict-of-law principles.
20. Entire Agreement
These Terms, together with the written proposal or contract and any change orders, constitute the entire agreement and supersede prior discussions or representations.
21. Severability
If any provision is held invalid, the remaining provisions remain in full force and effect.
22. Notices
Notices must be in writing and delivered to the addresses listed on the contract, by email with delivery confirmation, or by certified mail.
23. Privacy and Data
We will protect personal information in accordance with our Privacy Policy. Client consents to Contractor storing client contact and project data for business purposes.
